Strategy Inc. said in an Oct. 1, 2026 8-K that it is keeping the STRC dividend at a 12.00% annualized rate for semi-monthly periods from Oct. 16 onward. The same filing declared $0.50 per-share dividends for the periods ending Oct. 31 and Nov. 15, 2026. The October cash is on a conventional schedule. The November cash, and a possible move to daily accruals, depend on a shareholder vote later this month.
Holders of record on Oct. 15 are slated to receive $0.50 per share on Oct. 31. That amount is consistent with a 12.00% annualized rate applied to a semi-monthly period. The 8-K does not present that October distribution as contingent on the governance items discussed below.
The Nov. 15 payment of $0.50, to holders of record on Oct. 31, is explicitly conditional. Strategy requires shareholder approval of daily-dividend amendments by 5 p.m. ET on Oct. 31 and a certificate of designation filing by Nov. 1. Recaps on StockTitan and Coinlaw align with the filing on those gates and add that a definitive proxy is expected around Oct. 5, with a meeting on Oct. 28.
If those conditions are met, STRC would move to daily record dates from Nov. 1, with payment on the next business day, still at the 12.00% annualized rate. If they are not, the November declaration as written would not proceed on those terms, and the semi-monthly structure would remain unless the board declares otherwise.
The near-term cash-flow picture is therefore:
- Confirmed rate: 12.00% annualized, unchanged.
- Confirmed October cash: $0.50 payable Oct. 31, record Oct. 15.
- Conditional November cash: $0.50 payable Nov. 15, record Oct. 31, subject to the vote and filing.
- Conditional mechanics: daily record dates from Nov. 1 if amendments are approved and filed on time.
Canadian investors holding STRC receive U.S.-dollar, U.S.-source preferred dividends. Each payment is converted to Canadian dollars for reporting, typically using a Bank of Canada or other CRA-accepted rate for the relevant day. In a non-registered account, U.S. withholding often applies at 15% when a valid Form W-8BEN is on file under the Canada–U.S. tax treaty, and a foreign tax credit may be available. TFSAs, RRSPs, and other registered accounts can have different withholding and generally no Canadian tax on the distribution itself, depending on the account and the custodian’s procedures. Those are general features of U.S. preferred dividends, not personalized tax or investment advice.
A shift to daily payments would change the size and frequency of USD cash—and therefore the FX conversion pattern—without changing the stated annualized rate. It would also increase the number of broker lots to reconcile at year-end. Until the Oct. 28 vote and subsequent filings are public, that shift is contingent, not confirmed.
The operative document is Strategy’s Oct. 1, 2026 8-K. Secondary write-ups should be checked against that filing. Results after Oct. 28 will show whether daily accruals start Nov. 1 and whether the conditional November $0.50 is paid.
